- Pay-Per-Click (PPC) Advertising
- Social Media Marketing
- Content Marketing
- Brand Development
- Analytics and Reporting
- International Market Expansion
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your business and marketing goals
- Grant necessary access to your digital assets (websites, social media accounts, analytics)
- Review and approve marketing materials in a timely manner
- Provide feedback and collaborate with our team as needed
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
4. Service Delivery and Timeline
We commit to delivering services according to the agreed timeline. However, delays may occur due to:
- Client feedback delays
- Third-party platform changes
- Technical issues beyond our control
- Force majeure events
We will communicate any delays promptly and work to minimize their impact.
5. Payment Terms
Payment terms are as follows:
- 50% payment required upon project initiation
- Remaining 50% due upon project completion
- Monthly retainer services billed in advance
- Payment methods: Bank transfer, credit card, or digital payment platforms
- Late payments subject to 2% monthly interest
- All fees are non-refundable except as specified in our guarantee policy
6. ROI Guarantee
Our ROI guarantee applies as follows:
- 300%+ ROI guaranteed for qualifying campaigns
- Guarantee period: 30 days from campaign launch
- Client must provide necessary access and cooperation
- Guarantee does not apply to force majeure events
- Specific terms outlined in individual service agreements
7. Intellectual Property
Intellectual property rights are governed as follows:
- Client retains ownership of their existing content and brand assets
- PouchCare retains ownership of our proprietary methodologies and tools
- New content created for clients becomes client property upon full payment
- PouchCare may showcase work in our portfolio with client permission
- Confidential information remains protected under NDA terms
8. Confidentiality
We maintain strict confidentiality regarding:
- Client business information and strategies
- Financial data and performance metrics
- Proprietary methodologies and trade secrets
- Client lists and contact information
Confidentiality obligations survive termination of services.
9. Limitation of Liability
PouchCare's liability is limited to:
- Direct damages up to the amount paid for services
- No liability for indirect, incidental, or consequential damages
- No liability for third-party platform changes or technical issues
- Force majeure events excluded from liability
10. Termination
Either party may terminate services with written notice:
- 30 days written notice required for monthly services
- Project-based services may be terminated for cause
- Payment for completed work remains due
- Client data and assets returned within 30 days
11. Dispute Resolution
Disputes will be resolved through:
- Good faith negotiation between parties
- Mediation if negotiation fails
- Arbitration as final resolution method
- Governing law: State of Delaware, USA
12. Changes to Terms
We reserve the right to modify these terms with 30 days notice. Continued use of services constitutes acceptance of updated terms.
